PLEASE READ THE FOLLOWING TERMS & CONDITIONS CAREFULLY.
1. Terms of Use
These Terms & Conditions ("Terms") govern your access to and use of Ketchup, a software-as-a-service (SaaS) platform available on desktop and mobile devices, which enables dating, social networking, event promotion and management, and (where applicable) access to and distribution of video-on-demand or streamed content (collectively, the "Platform"), operated by UpTo Inc. (DBA Ketchup) ("Company," "We," "Us," or "Our"). These Terms apply to all Account Holders, including the following categories of users:
a.Individual Users – individuals who use the Platform for dating, networking, social interaction, or to attend events.
b.Event Organizers – individuals, businesses, or other entities who use the Platform to create, host, promote, or manage events or related content.
c.Content Providers – Individuals or entities who upload, license, or otherwise distribute recorded or streamed video content through the Platform. Content Providers are also subject to the Organizer Upload & Content License Agreement, which governs the uploading, licensing, and distribution of such content.
d.Viewers – End-users who access, rent, or stream recorded or live video Content through the Platform. Viewers are also subject to the Supplemental Video Streaming Terms for Viewers, which govern the licensing, access, and use of on-demand and streamed Content and are incorporated herein by reference.
BY CLICKING "I ACCEPT," OR OTHERWISE CREATING AN ACCOUNT OR USING THE PLATFORM, YOU ("YOU," "YOUR," OR "ACCOUNT HOLDER") AGREE TO BE BOUND BY THESE TERMS, THE Privacy Policy, AND ANY APPLICABLE SUPPLEMENTAL AGREEMENTS (INCLUDING THE UPLOAD & CONTENT LICENSE AGREEMENT AND THE SUPPLEMENTAL VIDEO STREAMING TERMS), ALL OF WHICH ARE INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE PLATFORM. YOUR CONTINUED USE OF ANY FEATURE OF THE PLATFORM CONSTITUTES ACCEPTANCE OF THESE TERMS AND ANY APPLICABLE SUPPLEMENTAL TERMS.
2. Overview
The Platform provides integrated social-connection and event-management and video on-demand services for adults, including but not limited to:
a.Connection Services – allowing Individual Users to create profiles, connect with others, and communicate for dating, networking, or social purposes.
b.Event Services – allowing Event Organizers to create, promote, and manage events, and allowing Individual Users to browse, register for, and attend such events.
c.Streaming Services – allowing Content Providers to upload, license, and distribute recorded or streamed video content through the Platform, and allowing Viewers to rent or access such content for on-demand viewing.
3. Platform Role & Limitations: No Law Enforcement, Credit, Matchmaking, or Content Publisher Services
The Platform is primarily a technology service that facilitates connections, event promotion, and video streaming among Account Holders. Except where expressly stated otherwise, Company acts solely as a technology provider and is not a party to any interactions, communications, or transactions between Account Holders.
Company may, however, from time to time, organize, sponsor, or host its own events ("Company-Organized Events"). For such events, Company will act as the Event Organizer and assume the responsibilities applicable to Event Organizers under these Terms, including compliance with all applicable laws, permits, and venue requirements.
With respect to video-on-demand and streaming functionality, Company provides only the hosting, payment processing, and playback infrastructure and does not act as a producer, co-publisher, distributor, or guarantor of any Content uploaded by Content Providers or viewed by Users. Content Providers are solely responsible for their uploaded materials, and Viewers are responsible for their use and compliance under the Supplemental Video Streaming Terms and Organizer Upload & Content License Agreement.
Company is not a law enforcement agency, credit bureau, background check provider, professional matchmaking service, or media production company. Accordingly, we do not:
a.Conduct Background Checks, including performing criminal or civil background screenings on Account Holders;
b.Verify Identity or Personal Status, including independently confirming the identity, financial standing, marital status, or personal history of any Account Holder;
c.Investigate Misconduct Allegations, including investigation, adjudication, or mediation of disputes or alleged violations of consent, harassment, assault, or misconduct between Account Holders or involving Account Holders;
d.Guarantee Accuracy of Account Holder Content, including ensuring that Account Holder-provided information is truthful, complete, or accurate;
e.Guarantee Accuracy or Legitimacy of Third-Party Events or Uploaded Content, including verifying that any event hosted or promoted by an Event Organizer (other than Company Organized Events) is genuine, lawful, safe, or accurately described;
f.Promise Outcomes, including guaranteeing that You will find a compatible partner, form a successful relationship, achieve audience reach, or have a satisfactory event or viewing experience.
4. Eligibility & Account Requirements
a.Minimum Age Requirement; No Age Verification – You warrant that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Platform. The Company does not independently verify the identity, age, financial standing, or personal status of any Account Holder, but reserves the right to request proof of age or suspend accounts where age eligibility is in question.
b.Legal Capacity – You represent that You are legally capable of entering into binding agreements.
c.Accurate Information – You agree to provide accurate, complete, and current information when creating and using Your account. If You are an Event Organizer or Content Provider, You must also provide any additional information reasonably requested for compliance, tax, or payment processing purposes.
d.Account Security – You agree that You are solely responsible for safeguarding Your login credentials. Any activity under Your login is presumed to be Yours or authorized by You. Unauthorized sharing, transfer, or resale of Platform access is strictly prohibited and may result in suspension or termination under the Anti-Piracy & Account-Sharing Protections policy.
e.Single, Non-Transferable Account – You may maintain only one Account Holder account, which is personal to You and non-transferable. You may not sell, share, or assign Your account except as expressly permitted under these Terms. If You are an Event Organizer or Content Provider and allow employees, contractors, or agents to access or manage Your account, You remain fully responsible for their actions, omissions, and compliance with these Terms, and You must ensure that all such persons use the account solely for lawful, authorized purposes.
f.Event Organizer Obligations – Event organizers agree to comply with applicable commercial, licensing, and tax laws, and represent that they have all rights and permissions required to host or promote any event. We may require Event Organizers to provide additional information, including legal entity name, tax identification, government-issued ID, or other documentation, to verify identity or eligibility before permitting event listings, accepting payments, or releasing funds. Failure to provide verification information may result in delayed or withheld payouts or suspension of account access.
g.Content Provider Obligations – Content Providers agree to comply with all intellectual-property, privacy, and licensing laws and represent that they hold all rights required to upload and license Content as described in the Organizer Upload & Content License Agreement. We may require Content Providers to provide verification information or rights documentation before enabling uploads or payouts.
5. User Commitments & Responsibilities
You agree to use the Platform in accordance with all applicable laws and community standards. In particular, You agree to comply with the following requirements, as well as the Community Standards & User Code of Conduct in Appendix A:
a.Prohibited Content Requirement – You will not upload, post, or share any unlawful, defamatory, obscene, or harmful content.
b.Respectful Conduct Requirement – You will not engage in harassment, stalking, intimidation, threats, bullying, hate speech, or discriminatory conduct based on race, ethnicity, gender, gender identity, sexual orientation, religion, disability, or any other protected characteristic. The Platform is committed to maintaining a safe and respectful community, and violations may result in suspension or permanent removal.
c.No Impersonation & Misrepresentation – You must use Your real identity when creating and maintaining an account. You may not impersonate any individual (including public figures), misrepresent Your affiliation with any person, group, or organization, or otherwise provide false or misleading information in Your profile, communications, or activities on the Platform. You may not use another person's name, image, likeness, photos, or other personal information without their consent, nor may You create fake or deceptive profiles (including "catfishing" or the use of stock or stolen images). Any attempt to mislead, defraud, or deceive other users is strictly prohibited and may result in immediate suspension or termination of Your account.
d.No Unauthorized Commercial Promotion, Including Adult Content – Except for approved Event Organizers and Content Providers using designated Platform tools, Account Holders may not use the Platform to promote, market, advertise, or solicit for any personal or business, product, or service, unless expressly authorized by Us in writing or under a separate agreement. This includes posting promotional content or external links; contacting other Account Holders to generate business leads or recruit for outside ventures; or advertising, offering, or facilitating escort, companionship-for-hire, solicitation, or other sexual or romantic commercial services. Account Holders may not upload, link to, or direct users to external sites or platforms that host, provide, or monetize adult, sexually explicit, or pornographic content. The Platform does not host such content.
e.Event Promotion Limited to Approved Event Organizers – Individual Users may not promote, advertise, or host events through their accounts. Only approved Event Organizers may list or promote events using the Platform's designated event-promotion features and in accordance with these Terms. We may remove any unauthorized event-related content, suspend or terminate accounts, and pursue other remedies available to Us for violations of this policy.
f.Event Organizer Compliance Obligations – Event Organizers must ensure that all Events comply with applicable laws, venue rules, safety standards, and any required licenses, permits, permissions, or insurance. Organizers are solely responsible for obtaining and maintaining such authorizations and for providing accurate and current Event information. Organizers must promptly update attendees regarding any material changes, cancellations, or restrictions. Event Organizers are solely responsible for obtaining and maintaining, at their own expense, adequate insurance coverage for their Events, including general and public liability insurance, as required by applicable law, venue policy, or industry standards. The Company does not provide insurance for Event Organizers, Events, or attendees. We are not responsible for an Event Organizer's failure to comply with these obligations.
6. Safety
a.Personal Safety – By using the Platform, Individual Users agree to exercise reasonable judgment and caution when communicating or meeting with other Account Holders, whether online or in person. You are solely responsible for Your safety and personal decisions. We strongly recommend meeting in public places, notifying friends or family of Your plans, and following basic personal-safety practices. The Platform does not conduct background checks or guarantee the character, conduct, or intentions of any Account Holder.
b.Event Organizer Safety Obligations – Event Organizers are solely responsible for ensuring their events are conducted safely and in compliance with applicable laws, venue requirements, and public-health guidance. Event Organizers must take reasonable steps to protect attendees from foreseeable risks, including crowd control, emergency access, and compliance with alcohol, fire, and occupancy regulations.
c.Attendee Safety at Events – Individual Users who attend events promoted or listed on the Platform agree to use reasonable care for their own safety and to follow all rules, instructions, and policies of the event, venue, or Event Organizer. Individual User attendees are encouraged to stay aware of their surroundings, report concerns to event staff or authorities as appropriate, and leave any situation where they feel unsafe or uncomfortable.
d.Content Provider Safety & Compliance – Content Providers are responsible for ensuring that any streamed or recorded material (including wellness, coaching, or instructional content) complies with applicable health, safety, and professional-practice standards. Content that depicts or instructs physical activity, therapy, or high-risk practices must include appropriate warnings, disclaimers, and safety guidance. Organizers must not encourage or depict dangerous, illegal, or unsafe conduct.
e.Viewer Responsibility – Viewers are solely responsible for using discretion when viewing or participating in streamed or recorded content. You acknowledge that some Content may include discussions of physical, emotional, or psychological practices that carry inherent risks, and You agree to participate only to the extent that You can do so safely. Nothing on the Platform constitutes medical, therapeutic, or professional advice.
f.No Guarantee of Safety – While the Company strives to maintain a safe environment, it cannot guarantee the conduct of Account Holders, the safety of events, or the accuracy or suitability of streamed content. Use of the Platform is at Your own risk.
7. Event Services (Attendees & Organizers)
The Platform provides a marketplace and payment-processing technology for Events and streaming content, but does not itself host, co-host, or co-organize Events or produce content unless expressly stated as a Company-Organized Event or Company-Produced Program. By selling or purchasing tickets, registering for, listing, promoting, attending any event, or uploading, renting or streaming any content available through the Platform ("Event"), You agree to the following:
a.Event Hosting Sources – Events may be hosted by Event Organizers or by the Platform ("Company-Organized Events"). When the Platform itself serves as the Event Organizer, separate event-specific terms, waivers, or policies may apply in addition to these Terms.
b.Event Organizer Responsibilities – Event Organizers are solely responsible for ensuring their Events comply with all applicable laws, venue requirements, and safety standards. Event Organizers must provide accurate and timely Event details, honor posted terms (including ticket prices and refund policies), and notify Individual User attendees promptly of any material changes, postponements or cancellations.
c.Attendee Acceptance of Terms – Event Organizers are solely responsible for ensuring that all attendees are made aware of, and agree to, both (i) these Platform Terms and (ii) any Organizer-specific event terms, policies, waivers, or participation conditions prior to attending the Event. The Company has no obligation to obtain such consent on the Organizer's behalf. If an Organizer sells or transfers tickets outside the Platform, the Organizer remains solely responsible for ensuring those attendees agree to all required terms. The Organizer shall be solely liable for any failure to obtain attendee consent, and agrees to indemnify and hold the Company harmless from any claims arising from such failure.
d.Attendee Responsibilities – Individual Users who attend Events agree to review and follow all applicable Event's terms and conditions, venue rules, and Event Organizer policies, and to assume all risks associated with attending or participating in any Event.
e.Event Information Disclaimer – We do not guarantee the accuracy, timeliness or completeness of Event listings, descriptions or related content.
f.Ticketing, Refunds & Cancellations – Your ticket constitutes a revocable, limited license to attend the applicable Event and does not grant ownership or perpetual access rights. The Event Organizer or venue may deny or revoke entry at their discretion, including for safety, security, capacity, or compliance reasons. Attendance may be conditioned on venue rules, security screenings, ID checks, or other reasonable entry requirements, and Event details—such as time, location, lineup, or content—may change without notice.
i. For Events where tickets are sold through the Platform ("Platform-Processed Events"), the Company acts as a limited payment collection agent for the Event Organizer. Refunds, exchanges, and cancellations for such Events are governed by the Event Organizer's stated refund policy, subject to applicable law. If an Event is canceled, postponed, or materially changed, the Event Organizer must promptly notify attendees and process lawful refunds. If the Event Organizer fails to do so, the Company may, in its discretion, facilitate refunds to attendees and recover such amounts from the Organizer's payouts or account balance. Event Organizers remain solely responsible for all refund and cancellation obligations under applicable consumer-protection laws, and agree to indemnify and reimburse the Company for any refunds, chargebacks, or related costs the Company issues or incurs on their behalf.
8. Payments, Subscriptions & Pricing
a.Free vs. Paid Features – The Platform may offer a mix of free and paid features. Access to certain premium functionality, content, or services may require You to purchase a one-time product or subscribe to a recurring plan. We will clearly identify which features require payment before you commit.
b.Payment Methods & Authorization – You agree to provide accurate and current payment information at the time of purchase. We accept payment through the authorized payment methods listed at checkout. By submitting payment details, you authorize Us (and our third-party payment processors) to charge all applicable fees, including any applicable sales, use, goods and services (GST), or value-added (VAT) taxes, and any agreed recurring charges to Your chosen payment method. We may seek pre-authorization of Your payment method to verify its validity and available funds.
c.Subscriptions & Renewal – If You enroll in a subscription plan, Your subscription will automatically renew at the end of each billing period, and Your payment method will be charged the then-current fees unless You cancel before the renewal date, using the tools provided in the Platform. We may update Our pricing or subscription tiers from time to time, and will give You reasonable prior notice of any changes before they take effect.
d.Refunds – All Platform subscription fees and related purchases are generally non-refundable, except where expressly stated on the Platform or required by applicable law. Refunds for video-on-demand rentals or purchases are governed by the Refund & Rental Access Policy.
e.Delinquent Accounts – If any payment is not received when due, We may suspend or terminate Your access to the Platform or to specific features until payment is made in full. In addition to the outstanding balance, You are responsible for any costs We incur in collecting unpaid amounts (such as collection fees or bank charges).
f.Event Payments – When You register for or purchase tickets or access to an Event through the Platform, You agree to pay all applicable fees, charges, and taxes. For Events where tickets are sold through the Platform ("Platform-Processed Events"), payment is processed by Us or Our third-party payment processor acting as a limited payment collection agent for the applicable Event Organizer. For Events where tickets are sold externally ("Externally-Processed Events"), any payments, taxes, or fees are handled directly by the Event Organizer or their chosen ticketing provider. Refunds, cancellations, and rescheduling are governed by Section 8 and are determined by the applicable Event Organizer's refund policy unless otherwise required by law or expressly stated on the Platform.
g.Streaming Payments (Viewers & Content Providers) – When You rent, purchase, or access on-demand or streamed Content through the Platform, You agree to pay the listed price plus any applicable taxes and service fees. Viewers are subject to the Supplemental Video Streaming Terms and the Refund & Rental Access Policy, which govern rental access, refunds, and chargebacks. Content Providers are subject to the Organizer Upload & Content License Agreement and the Refund & Rental Access Policy, which govern pricing, payouts, deductions, refund obligations, and tax compliance. The Company and its payment processors (e.g., Stripe Connect, Square) act solely as limited payment-collection agents and are not sellers, licensors, or co-publishers of any Content.
9. Intellectual Property & License Rights
a.Platform Intellectual Property
i.Ownership of Platform Intellectual Property – All software, code, designs, graphics, trademarks, service marks, audiovisual works, and other content provided through the Platform (collectively, "Platform Intellectual Property") are and will remain the exclusive property of Us or Our licensors. Subject to Your compliance with these Terms and any applicable supplemental agreements, We grant You—whether as an Individual User, Event Organizer, Content Provider, or Viewer—a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for lawful purposes consistent with Your account type and these Terms. Except as expressly authorized by Us (for example, where Event or Content Providers are permitted to use Platform tools to promote Events or distribute licensed Content), You may not copy, reproduce, modify, distribute, sell, lease, sublicense, publicly display or perform, create derivative works of, or otherwise exploit the Platform or any Platform Intellectual Property. You also may not decompile, reverse engineer, or remove, obscure, or alter any proprietary notices, or use the Platform for any unauthorized commercial or unlawful purpose.
ii.Account Holder License – Subject to Your full and ongoing compliance with these Terms, We grant You a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to create an Account, download and install one copy of any mobile or web-based application We provide on a device You own or control, and access and use the Platform and its content: (1) For Individual Users, solely for personal, non-commercial use; and (2) For Event Organizers, solely for the purpose of creating, promoting, and managing Events in accordance with these Terms; (3) For Content Providers, solely for the purpose of uploading and distributing video or streamed Content solely under the Organizer Upload & Content License Agreement; (4) For Viewers, solely for the purpose of accessing, renting, or streaming Content solely under the Supplemental Video Streaming Terms and Refund & Rental Access Policy; (5) Any other use of the Platform, its software, or its content is prohibited unless expressly authorized by Us in writing.
iii.Account Holder Input – If You provide ideas, feedback, suggestions, or other input regarding improvements, features, or functionality of the Platform ("Input"), You grant the Company an unrestricted, perpetual, irrevocable, worldwide, non-exclusive, and royalty-free right and license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and otherwise exploit such Input for any purpose, including improving or developing current or future products or services, without any obligation of attribution or compensation to You.
b.User Content
i.Ownership of Account Holder Content – Subject to the rights of others, You—whether as an Individual User, Event Organizer, or Content Provider—retain any copyright and other proprietary rights in the content You upload, post, or otherwise make available through the Platform, including photos, images, videos, text, event descriptions, branding materials, likenesses, and other works ("Account Holder Content"). You also retain any rights of publicity or rights of persona in Your own name, image, likeness, voice, or other identifying characteristics that appear in Your Account Holder Content. By uploading or posting such content, You grant the Company a limited license to display and otherwise use Your name, image, likeness, and other identifying characteristics as reasonably necessary to operate, promote, and improve the Platform and related services. The Company will not sell, assign, or otherwise transfer Your content or likeness for independent commercial use without Your prior written consent.
10. DMCA & Copyright Complaints
a.Respect for Rights – We respect the intellectual property rights of others and expect Account Holders—including Individual Users, Event Organizers & Content Providers—to do the same.
b.Reporting Infringement – If you believe that content on the Platform infringes your copyright, send a written notice to our DMCA agent that includes: (i) identification of the copyrighted work you claim has been infringed; (ii) identification of the allegedly infringing material and its location on the Platform; (iii) your name, address, telephone number and email address; (iv) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (v) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; (vi) your physical or electronic signature.

d.Counter-Notice – If you are an Individual User or Event Organizer whose content was removed or disabled in error, you may submit a counter-notice including: (i) identification of the material that was removed or disabled and the location where it previously appeared; (ii) a statement, under penalty of perjury, that you believe the material was removed or disabled as a result of mistake or misidentification; (iii) your consent to the jurisdiction of the federal district court in the jurisdiction where you reside if in the United States, or any U.S. federal district court in which the Company is located if you reside outside the United States; (iv) your physical or electronic signature.
e.Repeat Infringers – We may suspend or terminate the accounts of any Individual User or Event Organizer who repeatedly infringes or is alleged to infringe the intellectual property rights of others.
11. Privacy & Data Use
This Section governs how Personal Information is collected, used, shared, accessed, exported, and processed by Individual Users, Event Organizers, and Content Providers ("Organizers/Providers"). It incorporates and supplements the Platform's Privacy Policy and any applicable Upload, Licensing, or Organizer Agreements.
a.Privacy Policy Incorporation – Our collection, use, sharing, and processing of Personal Information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to the terms of the Privacy Policy.
b.Collection of Information – We collect and process Personal Information as described in the Privacy Policy, including: (i) information you provide directly (account creation, registration, uploading or streaming Content, hosting or attending Events, communications); and (ii) information collected automatically through your use of the Platform, including analytics, usage data, device identifiers, and cookies/technical signals.
c.Sensitive Personal Information – Certain features of the Platform (including event, community, streaming, or dating/compatibility-related tools) may involve the optional disclosure of Sensitive Personal Information. By choosing to use such features, you acknowledge and accept the associated risks. Organizers/Providers may not collect or export Sensitive Personal Information unless it is necessary for a legitimate event- or content-related purpose, legally required consent is obtained, and all applicable privacy laws are followed.
d.Data Retention – We may retain Personal Information for as long as necessary to operate the Platform, fulfill the purposes described in the Privacy Policy, and satisfy legal, regulatory, accounting, or contractual obligations.
e.Third-Party Services – Certain Platform features rely on third-party services (including payment processors, communication tools, mapping providers, analytics services). Your information may be shared with such providers as necessary. We are not responsible for third-party practices or failures.
f.Data Responsibilities of Event Organizers & Content Providers – Organizers/Providers acknowledge that in creating, hosting, managing, or streaming Events or Content, they may access Personal Information about participants, attendees, or Viewers. They may use Platform-collected Personal Information solely for Event- or Content-related operations, rights-protection, fraud-prevention, and security purposes. Organizers/Providers may export or download Personal Information only via authorized Platform features. Unauthorized export is a material breach of these Terms. When Personal Information is exported, the Organizer/Provider becomes the independent data controller for the exported copy. Organizers/Providers may not use Platform-collected data for unrelated business purposes, external marketing, or sell, rent, or monetize such data. Organizers/Providers must maintain commercially reasonable security for exported data and comply with breach-notification duties when required by law. Event Organizers and Content Providers are solely responsible for their own acts and omissions with respect to Personal Information and agree to indemnify the Company from any claims arising from their handling of Personal Information.
12. Legal Disclaimers
The Platform—including all features available to Individual Users, Event Organizers, Content Providers and Viewers—is provided "as is" and "as available." To the fullest extent permitted by law, We disclaim all warranties, express or implied, including without limitation:
a.Availability – We do not guarantee that the Platform or any part of it (including Organizer tools, event features or streaming services) will always be online, uninterrupted, or accessible at all times.
b.Merchantability – We do not warrant that the Platform is of a certain quality or suitable for the ordinary purposes for which such services are used.
c.Fitness for a Particular Purpose – We do not guarantee that the Platform will meet Your specific needs, goals, or expectations—whether You are using it to host events, manage participants, or engage with other users.
d.Non-Infringement – We do not warrant that the Platform or any of its content (including event listings, materials uploaded by Organizers, streamed Content or user-generated content) will not infringe the rights of third parties.
e.No Guarantee of Performance – We do not guarantee continuous operation, data retention, or the timely processing of communications, Event tickets, payments, or streamed Content.
f.No Guarantee of Outcomes – We do not guarantee any particular social, artistic, or commercial results from Your use of the Platform, including successful matches, Event attendance, sales, rentals, or revenue.
g.User Generated Content – Profiles, posts, messages, Event listings, and uploaded or streamed Content are created solely by Account Holders. We do not pre-screen, verify, or endorse such Content and disclaim responsibility for its accuracy, legality, or reliability.
h.Changes – We may modify, suspend, or discontinue any feature, service, or functionality of the Platform at any time in Our discretion. Updates to these Terms themselves are governed by Section 23 (Entire Agreement; Amendments & Waivers).
13. Limitation of Liability
a.General Limitation – To the maximum extent permitted by law, We shall not be liable to any Individual User, Event Organizer, Content Provider, Viewer, or third party for any indirect, incidental, consequential, special, or punitive damages—including lost profits, data loss, personal injury, or emotional distress—arising out of or related to Your use of the Platform or participation in, management of, or access to any Event, Content, or feature.
b.Subscription, Rental & Purchase Payments – Except where required by law, all subscription, rental, and purchase payments are final and non-refundable once access begins. Refunds, reversals, or credits—if granted—are at the sole discretion of the Company or the applicable app store. Account Holders may request a review by emailing members@wannaketchup.com. For subscriptions purchased through Apple, refund requests must be submitted directly to Apple via https://support.apple.com/en-us/118223.
c.Refunds for video streaming – Refunds for video streaming or on-demand Content are governed by Our Refund & Rental Access Policy and applicable payment-processor terms (e.g., Stripe Connect, Square).
d.Event- & Content-Related Payments – We are not a party to any contract between Account Holders. For Platform-Processed Events or Streams, We act solely as a limited payment-collection agent. Organizers remain solely responsible for fulfillment, delivery, and any refunds. For externally processed Events or Content, all such matters are governed solely by the Organizer's or third-party provider's policies.
e.Maximum Liability Cap – Our total aggregate liability to You for any claim arising out of or relating to the Platform shall not exceed: (i) For Individual Users or Viewers: the greater of $250 USD or the total amount paid by You to Us in the six (6) months preceding the occurrence giving rise to the claim; (ii) For Event or Content Providers using external systems: the greater of $1,000 USD or the total amount of fees paid by You to Us in the prior six (6) months; (iii) For Platform-Processed Events or Streams: the greater of the total service fees retained by Us for the specific transaction, or $2,500 USD, not to exceed $5,000 USD in the aggregate for all claims.
f.No Responsibility for User or Third-Party Conduct or Content – We are not responsible for the acts, omissions, representations, or conduct of any third party, including other Account Holders, attendees, venues, vendors, advertisers, or any other persons. This includes claims arising from Events or streamed Content organized, hosted, uploaded, or operated by third parties. We are also not liable for infringing, unlawful, or otherwise improper Events or Content. In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) and other applicable laws, We will remove or disable access to allegedly infringing material upon receiving proper notice.
14. Assumption of Risk
a.Account Holder Assumption of Risk – By using the Platform, Individual Users, Event Organizers, Content Providers, and Viewers acknowledge and agree that all interactions, communications, activities, uploads, and streaming or viewing of Content arising from or related to the Platform—whether conducted online through the Platform or offline in person—are undertaken at their own risk. We do not screen or verify the identity, background, or qualifications of Account Holders; guarantee compatibility, content quality, or event quality; or ensure the accuracy or completeness of any information provided by others. Each Account Holder is solely responsible for exercising judgment and taking appropriate precautions in all interactions.
b.No Duty to Investigate Misconduct – We are not responsible for investigating, adjudicating, mediating, or intervening in any disputes or alleged misconduct, including violations of consent, harassment, assault, abuse, or other misconduct between or involving Individual Users, Event Organizers, Content Providers, Viewers, or third parties. All such matters fall outside Our role as a service provider. While We have no obligation to take action, We will comply with any applicable legal requirements to report misconduct and cooperate with law enforcement as required by law.
c.Data Security Disclaimer – We use commercially reasonable measures to protect Your information, but no method of storage or transmission is completely secure. By using the Platform, You acknowledge and accept the risk that Your information may be accessed by unauthorized parties despite Our efforts.
d.Risks Involving Other Account Holders & Third Parties – You acknowledge that Third Parties, including other Account Holders (Individual Users, Event Organizers, Content Providers, and Viewers), as well as attendees, venues, vendors, and service providers—are independent parties and are not under Our control. We are not responsible for their actions, omissions, representations, or services.
e.No Emergency Services – The Platform is not designed for emergency use. If You believe You are in danger or require immediate assistance—including during any meeting with another User, while attending an Event, or while using streaming features—you should contact local emergency services directly.
15. Indemnification
a.Account Holder Indemnification – You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, contractors and affiliates from and against any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) resulting from: (i) Your Use of the Platform – Any activity, interaction, or transaction You undertake through or in connection with the Platform; (ii) Your Violation of These Terms or Law – Any breach of these Terms or the Law in connection with Your use of the Platform; (iii) Your Content – Any content You upload, post, stream or otherwise make available through the Platform; (iv) If You are an Event Organizer or Content Provider, any Event or Content You create, promote, host, license, distribute, or manage—including claims arising from ticketing, streaming access, refunds, chargebacks, venue conditions, attendee or viewer safety, or any failure to ensure attendees or viewers agreed to the applicable Platform Terms; (v) Organizer/Provider Data-Handling – If You are an Event Organizer or Content Provider, any claims arising from Your access, export, storage, use, disclosure, or processing of Personal Information; any privacy, data-protection, or data-security violation; or any security incident involving Your systems.
b.No Indemnification by the Platform – We have no obligation to indemnify, defend, or hold harmless any User, Event Organizer, Content Provider or Viewer. To the fullest extent permitted by law, You acknowledge that We do not provide indemnity, insurance, or defense coverage of any kind for Your activities, interactions, or content on or off the Platform.
16. Suspension & Termination
a.Our Right to Suspend or Terminate – We may suspend or terminate Your account—or restrict Your access to any part of the Platform—at Our sole discretion if You violate these Terms, engage in conduct harmful to other Users or the community, or if We reasonably believe Your continued use creates legal, security, or reputational risk. If You are an Event Organizer or Content Provider, We may also suspend or terminate if We receive substantiated complaints from attendees, viewers, or third parties; detect misuse of attendee or viewer data; or determine that Your Event, Content, activities, or promotional materials violate these Terms. Suspension or termination may result in removal of Your Events or Content, delay or forfeiture of payouts, and/or retention of funds as permitted by law.
b.Your Right to Terminate – You may terminate Your account at any time by following the instructions within the Platform. Termination does not relieve You of any outstanding payment, refund, or reporting obligations, including those relating to Events You have organized or ticket transactions already processed through the Platform.
c.Account Deletion – If You request deletion of Your account, We will terminate Your access to the Platform and delete Your Personal Information in accordance with Our Privacy Policy. Certain information may be retained as required by law or for legitimate business purposes (such as fraud prevention, accounting, or tax reporting), as described in the Privacy Policy.
d.Effect of Termination – Upon termination or suspension by Us, Your right to access and use the Platform will immediately cease. If You terminate Your account voluntarily, You may retain access for the remainder of Your current billing period. If You are an Event Organizer or Content Provider, any of Your active Events or Content may be canceled, suspended, or removed at Our discretion. For Events or streaming transactions where We process payments, We may issue attendee refunds or withhold Organizer payouts. For Events or Content where You distribute access externally, You remain solely responsible for notifying attendees or viewers and processing refunds.
e.Survival – Termination of Your account or these Terms will not affect any rights or obligations that by their nature should survive termination. This includes provisions relating to Intellectual Property, Privacy and Data-Protection Rights, Payment Obligations, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution.
17. Arbitration & Dispute Resolution
a.Informal Resolution – Before either Party initiates arbitration or any other legal proceeding, the Parties agree to first attempt to resolve any dispute through good-faith discussions. To start this process, the complaining party must send a written notice describing the nature of the dispute to legal@wannaketchup.com. Both parties will use reasonable efforts to resolve the dispute within thirty (30) days after the notice is received. If the dispute is not resolved within that time, either party may proceed to arbitration as described below.
b.Binding Arbitration – Except as noted below, any dispute arising out of or relating to these Terms or the Platform—including use by an Individual User or Event Organizer, disputes relating to ticket sales, payouts, chargebacks, revenue, fees, subscriptions, refunds, or Event performance—will be resolved by final, binding arbitration under the Federal Arbitration Act (FAA). For Individual Users, arbitration will be conducted under the AAA Consumer Arbitration Rules; for Event Organizers or other business users, under the AAA Commercial Arbitration Rules. Judgment on any award may be entered in any court of competent jurisdiction.
c.Waiver of Jury Trial & Class Actions – You waive any right to a jury trial and agree that disputes will be resolved solely through individual arbitration. You further waive any right to bring or participate in a class, collective, representative, or private attorney general action.
d.Carve-Outs – This arbitration agreement does not prevent either party from: bringing an individual claim in small claims court; seeking injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights; or for California residents, pursuing public injunctive relief in court to the extent required by law.
e.Location, Costs & Format – Arbitration will take place in San Francisco County, California (or remotely, if permitted by the AAA rules), unless the Parties mutually agree otherwise. Filing, administration, and arbitrator fees will be allocated in accordance with the AAA Consumer Arbitration Rules, except that Company will pay only those fees required by law. For claims of a relatively small amount, the arbitration may be conducted solely on the basis of written submissions, unless the arbitrator determines a hearing is necessary. Unless the Parties agree otherwise, the arbitration will be conducted remotely via videoconference. This arbitration agreement survives termination of Your account or these Terms.
f.Opt-Out Right – You may opt out of these arbitration requirements by sending written notice to legal@wannaketchup.com within thirty (30) days of first accepting these Terms.
18. Governing Law, Forum & Consumer Rights
These Terms and any dispute or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law rules. If You validly opt out of arbitration under Section 17 (Arbitration & Dispute Resolution), any legal action or proceeding arising from or relating to these Terms must be brought exclusively in the state or federal courts located in San Francisco County, California, and You consent to the personal jurisdiction and venue of such courts. If You are an Event Organizer, You acknowledge that California law governs all disputes and San Francisco County is the exclusive forum. If You are an Individual User and use the Platform as a consumer and reside in another jurisdiction, You may have rights under the mandatory consumer protection laws of that jurisdiction, and nothing in these Terms limits those rights.
19. International Use; Export Controls
The Platform is operated from the United States and is primarily intended for users located within the United States. We make no representation that the Platform or any of its features are available, lawful, or appropriate for use outside the United States. If You access or use the Platform from another country—whether as an Individual User or Event Organizer—You do so on Your own initiative and are responsible for complying with all applicable local laws. Neither Individual Users nor Event Organizers may use the Platform if located in, or ordinarily resident of, any country or region subject to U.S. or other applicable trade or economic sanctions (including Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine), or if identified on any restricted-party list. You agree not to export, re-export, or otherwise transfer the Platform, or any data or technical information obtained through it, in violation of U.S. export-control, trade, or sanctions laws.
20. Apple App Store Terms
If You access or download the Platform from the Apple App Store, You acknowledge and agree that these Terms are entered into between You and Us, and not with Apple. Apple is not responsible for the Platform or its content and has no obligation whatsoever to provide maintenance, support, updates, or other services. To the maximum extent permitted by applicable law, Apple has no warranty or liability obligations with respect to the Platform. If the Platform does not conform to any applicable warranty, You may notify Apple, and Apple may refund the purchase price (if any); beyond that, Apple has no further warranty or other obligations. Apple and its subsidiaries are third-party beneficiaries of this Section and may enforce it against You.
21. Severability
If any provision of these Terms (other than the arbitration requirements in Section 17) is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, the remaining provisions will continue in full force and effect to the maximum extent permitted by law. The invalid or unenforceable provision will be deemed modified to be valid and enforceable to the greatest extent consistent with applicable law and the original intent of the parties.
22. Successors & Assigns
These Terms are binding upon and inure to the benefit of You and Us, as well as Your and Our respective successors and permitted assigns. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms—or any rights or obligations under them—without Our prior written consent, and any attempted assignment without such consent will be void. If You are an Individual User, Your account and any associated rights are personal to You and non-transferable, except as required by law. In the event of Your death or legal incapacity, Your heirs, executor, administrator, or legal representative may request access to Your account or content by providing Us with legally sufficient documentation. We reserve the right to verify such documentation and may, in Our discretion, grant, limit, or deny access consistent with applicable law. If You are an Event Organizer, these Terms are binding on any successor entity that assumes Your business or event operations, subject to Our approval.
23. Entire Agreement; Amendments & Waivers
These Terms constitute the entire agreement between You and Us and supersede all prior or contemporaneous agreements, understandings, or representations relating to the Platform. The Appendices (including Appendix A through F and any future Appendix) form an integral part of these Terms and are incorporated herein by reference. In addition, certain features are subject to Supplemental Agreements, including the Content Provider Upload & Content License Agreement, the Refund & Rental Access Policy, the Supplemental Video Streaming Terms, and any additional addenda or policy documents issued by the Company. We may update or amend these Terms, any Appendix, or our Privacy Policy from time to time by posting the revised version within the Platform with a new "Last Updated" date. Where required by law, or if the changes are material, We will provide You with reasonable advance notice. Your continued use of the Platform after the effective date of any revisions constitutes Your acceptance of the updated Terms. Our failure to enforce any provision shall not be deemed a waiver of that or any other provision.
24. Force Majeure
Neither We nor any Event Organizer or Content Provider shall be liable or responsible for any failure or delay in performance—including the hosting, modification, postponement, cancellation, or unavailability of any Event, stream, or on-demand Content—when caused by circumstances beyond Our or their reasonable control. These circumstances may include natural disasters, fire, flood, pandemic, epidemic, public-health emergency, government order or regulation, labor disputes, strikes, war, terrorism, civil unrest, power or internet outages, technical infrastructure failures, or other events outside of reasonable control ("Force Majeure Events"). If a Force Majeure Event makes it impossible or impracticable to perform, affected obligations may be suspended, delayed, or canceled without liability. Any refunds or remedies for canceled, interrupted, or rescheduled Events or streaming access due to Force Majeure Events are determined solely by the applicable Event Organizer or Content Provider, except to the extent otherwise required by law.
25. Notices & Communications
We may provide notices or other communications to You electronically, including by email, SMS, push notification, or in-app message. By using the Platform, You consent to receive such communications electronically and agree that all notices, agreements, disclosures, and other communications We provide electronically satisfy any legal requirements that such communications be in writing. If You are required or wish to give notice to the Company under these Terms, You must send it to the contact information listed below in Section 26. Notices will be deemed received by the Company when actually received.

Appendix A: Community Standards & User Code of Conduct for Individual Users Interacting with Other Individual Users
We want everyone using the Platform to feel safe, respected, and welcome. By using Our services, and when meeting another Individual User in person, You agree to follow these guidelines.
1. Treat Others with Respect
a. Be kind and courteous in all Your interactions, both online and offline.
b. No bullying, harassment, or hate speech.
c. Respect other people's boundaries—no means no, both on the app and in person.
d. Listen and communicate openly; never pressure someone into anything they are not comfortable with.
2. Keep It Safe
a. Protect Your login details and never share Your account.
b. Report any suspicious activity, harassment, or safety concerns through Our in-app tools or by contacting Us directly.
c. Do not use the Platform for harmful, dangerous, or illegal activities.
d. When meeting another Individual User in real life, choose public places, let a friend know where You'll be, and arrange Your own transportation.
3. Be Honest
a. Use Your real identity and provide accurate information.
b. Don't impersonate other people or create fake profiles.
c. Don't mislead or scam others—online or in person.
4. Respect Privacy
a. Do not share another Individual User's or anyone else's private information (like home address, phone numbers, or personal documents) without their permission.
b. Do not pressure another Individual User to share personal details or private spaces before they are ready.
c. Be mindful when posting or sending photos, videos, or messages—share responsibly.
5. Protect the Community
a. Do not post or share nudity, sexually explicit material, or graphic violence.
b. Do not distribute spam, malware, or harmful links.
c. Avoid any content that promotes self-harm, exploitation, or dangerous behavior.
d. Never exchange illegal goods or services or engage in conduct that could endanger You or anyone else.
6. Consequences for Violations
If you violate these rules, We may: (a) Send You a warning; (b) Restrict Your ability to use certain features; (c) Suspend or permanently disable Your account; (d) Report serious concerns to law enforcement if necessary.
7. Help Us Improve
We rely on our community to make the Platform safe and welcoming. If You see something that doesn't feel right, please report it. We review all reports and take them seriously.
Appendix B: Community Standards & User Code of Conduct for Individual Users Attending Events
We want everyone attending Events promoted through the Platform to feel safe, respected, and welcome. By purchasing tickets, or attending any Event listed or hosted through the Platform, You agree to follow these guidelines.
1. Treat Others with Respect
a. Be kind, courteous, and professional in all interactions with Event Organizers, venue staff, and fellow attendees.
b. Do not engage in bullying, harassment, discrimination, or hate speech.
c. Respect personal boundaries and space—no means no, both verbally and physically.
d. Follow Organizer and venue directions; never pressure anyone into anything they are not comfortable with.
2. Keep It Safe
a. Follow all posted safety instructions, emergency procedures, and public-health requirements.
b. Do not bring weapons, illegal substances, or prohibited items to any Event.
c. Report any suspicious activity, harassment, or safety concern to Event staff or through Our in-app reporting tools.
d. Do not attend Events while intoxicated or under the influence of substances that impair judgment or endanger others.
e. Comply with all age restrictions and venue entry requirements.
3. Be Honest and Accountable
a. Use Your real identity when registering or attending.
b. Do not use another person's ticket, badge, or credentials.
c. Provide accurate information to Event Organizers and venue staff.
d. Do not misrepresent Your affiliation, status, or intent in order to gain access to an Event.
4. Respect Privacy & Property
a. Do not record, photograph, or livestream without permission from the Organizer or the individuals being filmed.
b. Respect the confidentiality of private discussions and personal information shared at Events.
c. Do not share or publish another attendee's personal information without their consent.
d. Take care of venue property and equipment; You are responsible for any damage You cause.
5. Protect the Community
a. Do not disrupt speakers, performances, or sessions.
b. Avoid conduct that threatens safety or creates a hostile environment for others.
c. Comply with all Organizer and venue rules; failure to do so may result in removal without refund.
d. Never exchange illegal goods or services, and do not engage in any activity prohibited by law.
6. Consequences for Violations
If You violate these rules or Our Terms of Use, We may: (a) Send You a warning; (b) Restrict Your ability to use certain Platform features; (c) Suspend or permanently disable Your account; and/or (d) Report serious concerns to law enforcement or other authorities when required or appropriate.
7. Help Us Improve
If You witness or experience conduct at an Event that appears unsafe or inappropriate, report it directly to the Event Organizer and/or to law enforcement, as appropriate. We are not responsible for investigating or resolving incidents that occur at Events produced or managed by independent Event Organizers.
Appendix C: Community Standards & User Code of Conduct for Event Organizers
We want every Event hosted through the Platform to be safe, inclusive, and professionally managed. By creating, promoting, or managing an Event through the Platform, You agree to follow these guidelines.
1. Treat Attendees & Staff with Respect
a. Treat all attendees, participants, and staff courteously and professionally.
b. Do not engage in or permit harassment, discrimination, or hate speech at any Event.
c. Respect attendees' personal boundaries and ensure that all staff and volunteers do the same.
d. Foster an environment of inclusion and respect for people of all backgrounds, identities, and abilities.
2. Maintain a Safe & Lawful Environment
a. Comply with all applicable laws, regulations, and venue requirements, including those related to safety, occupancy, alcohol, health, and accessibility.
b. Implement reasonable measures to promote attendee safety, such as clear emergency procedures, visible signage, and trained on-site staff or volunteers.
c. Do not allow weapons, illegal substances, or other prohibited items at Events unless expressly permitted by law and the venue.
d. Promptly address any on-site incidents, disruptions, or safety concerns, and contact local law enforcement or emergency services when appropriate.
3. Be Honest & Transparent
a. Provide accurate Event descriptions, pricing, schedules, and refund policies.
b. Do not misrepresent Your affiliation, sponsorship, or relationship with the Platform or any other organization.
c. Honor all lawful refund obligations and clearly communicate cancellation or rescheduling information to registered attendees.
d. Do not engage in fraudulent, deceptive, or misleading advertising or ticketing practices.
4. Protect Privacy & Data
a. Use attendee information only for purposes directly related to the Event, consistent with Our Terms and Privacy Policy.
b. Do not sell, rent, or share attendee data with third parties without the attendee's express consent.
c. Comply with all applicable data-protection and privacy laws, including obtaining any consents required for communications, recordings, or marketing.
d. Securely store and, when no longer needed, properly delete or anonymize personal data collected through the Platform.
5. Uphold the Integrity of the Platform
a. Do not upload, post, or distribute illegal, infringing, or harmful content through the Platform.
b. Use the Platform only to promote lawful Events and related activities.
c. Do not misuse the Platform's payment or messaging features, attempt to bypass its systems, or encourage users to transact off-platform in violation of Our Terms.
d. Cooperate in good faith with the Platform's safety and compliance requests related to Events hosted by You.
6. Consequences for Violations
If You violate these rules or the Terms of Use, We may: (a) Issue a written warning; (b) Restrict or suspend Your ability to create or manage Events; (c) Remove Your Events or content from the Platform; (d) Terminate Your Event Organizer account; and/or (e) Report serious or repeated violations to law enforcement or regulatory authorities.
7. Help Us Improve
We rely on Organizers to help keep the Platform's community safe and trusted. If You become aware of conduct that threatens attendee safety or undermines the integrity of the Platform, please report it through the Platform's reporting tools.
Appendix D: Community Standards & Content Code of Conduct for Video Content Providers
We want all streamed and on-demand content offered through the Platform to be safe, respectful, and compliant with the law. By uploading, licensing, or distributing Content through the Platform, You agree to follow these guidelines.
1. Treat Viewers & Collaborators with Respect
a. Treat all viewers, collaborators, and participants courteously and professionally.
b. Do not include or promote harassment, discrimination, hate speech, or any form of abuse in Your Content or interactions with others.
c. Respect participants' personal boundaries and secure proper consent from anyone whose likeness, name, voice, or work appears in Your Content.
d. Foster an inclusive environment that welcomes people of all backgrounds, identities, and abilities.
2. Maintain a Safe & Lawful Environment
a. Upload and distribute only lawful Content that You have the right to share.
b. Do not include or promote illegal, unsafe, or prohibited activities, including violence, exploitation, unlicensed drug sales or use, weapons, or unpermitted adult sexual content.
c. Comply with all applicable laws and regulations governing digital media, intellectual property, and online safety.
d. Do not depict or encourage conduct that endangers individuals or the public.
3. Be Honest & Transparent
a. Provide accurate and non-misleading descriptions, thumbnails, and promotional materials for Your Content.
b. Do not misrepresent Your identity, qualifications, sponsorship, or affiliation with the Platform or other entities.
c. Honor all published rental or purchase terms, including pricing, access duration, and refund policies.
d. Do not manipulate view counts, ratings, or engagement metrics through deceptive or automated means.
4. Protect Privacy & Data
a. Obtain and document all necessary permissions and releases from individuals appearing in Your Content.
b. Do not include or disclose private, confidential, or personally identifying information about others without consent.
c. Comply with all applicable privacy and data-protection laws.
d. If You collect Viewer information through permitted integrations, use it only for lawful, disclosed purposes consistent with Our Terms and Privacy Policy.
5. Uphold the Integrity of the Platform
a. Do not upload, post, or distribute content that is illegal, infringing, obscene, defamatory, or harmful.
b. Respect intellectual property rights. Only upload works You own or are licensed to use.
c. Do not use the Platform to promote or link to external sites that monetize adult, illegal, or infringing material.
d. Do not misuse the Platform's monetization, messaging, or analytics features, or attempt to bypass its systems or fees.
e. Cooperate in good faith with the Platform's safety, copyright, and compliance processes, including DMCA requests and takedown procedures.
6. Consequences for Violations
If You violate these rules or the Terms of Use, We may: (a) Issue a written warning; (b) Restrict or suspend Your ability to upload or monetize Content; (c) Remove Your Content from the Platform; (d) Terminate Your Content Provider account; and/or (e) Report serious or repeated violations to law enforcement or regulatory authorities.
7. Help Us Maintain a Trusted Platform
We rely on Content Providers to help keep the Platform safe, creative, and compliant. If You become aware of Content that violates these Standards or threatens Viewer safety, please report it through the Platform's in-app tools.
Appendix E: Community Standards & Code of Conduct for Video Viewers
We want every Viewer using the Platform to have a safe, respectful, and enjoyable streaming experience. By renting, purchasing, or viewing streamed or on-demand Content through the Platform, You agree to follow these guidelines.
1. Treat Creators & Others with Respect
a. Be courteous toward Content Providers and other Viewers in all interactions, including comments or feedback.
b. Do not post or send abusive, harassing, hateful, or discriminatory messages. Respect the creative work of others—constructive feedback is welcome, but personal attacks or defamation are not.
c. Do not attempt to contact Content Providers outside the Platform unless they have expressly invited such communication.
2. Keep It Safe & Lawful
a. Do not record, copy, redistribute, or publicly display any Content unless expressly permitted by the Content Provider and Our Terms.
b. Do not attempt to bypass rental restrictions, digital-rights-management (DRM) measures, or access controls.
c. Do not use the Platform for illegal, harmful, or dangerous conduct.
3. Be Honest
a. Use Your true identity and payment information.
b. Do not misrepresent Yourself, impersonate others, or engage in fraudulent chargebacks or refund requests.
c. Follow all pricing, rental-period, and access-time disclosures shown at checkout.
4. Respect Privacy
a. Do not share another person's personal or identifying information without consent.
b. Do not post or record screenshots, clips, or images from streams that include private or sensitive material.
c. Be mindful when commenting or posting—avoid sharing information that could identify or endanger anyone.
5. Protect the Community
a. Do not upload, post, or share illegal, infringing, or explicit material through any Viewer-accessible feature (e.g., comments or reviews).
b. Do not distribute malware, spam, or phishing links.
c. Avoid content or conduct that promotes exploitation, self-harm, or violence.
d. Respect the Platform's DMCA Policy and the rights of all creators.
6. Consequences for Violations
If You violate these rules or the Platform Terms, We may: (a) Issue a warning; (b) Restrict Your ability to view, comment, or rent Content; (c) Suspend or terminate Your Viewer account; and/or (d) Report unlawful activity to law enforcement or other authorities when required or appropriate.
7. Help Keep the Platform Safe
We rely on our community to help maintain a respectful, trusted environment. If You encounter Content that violates these Standards or threatens Viewer safety, please report it through the Platform's tools.
Appendix F: Enforcement & Reporting of Violations for All Account Holders
This Appendix applies to all Account Holders who use, access, or participate in the Platform.
1. Enforcement Authority
a.Platform Authority – We retain the exclusive right to determine whether any conduct, content, or activity violates Our Terms of Use, Privacy Policy, or any applicable Code of Conduct. We may take any action We deem appropriate and proportionate, including issuing warnings, restricting features, removing content, suspending or terminating accounts, or reporting matters to law enforcement. See Section 16 (Suspension & Termination) for additional details.
b.No Guarantee of Enforcement – Our decision to take—or not take—any action in a particular instance does not waive Our right to act in the future and does not create any obligation to monitor or enforce conduct generally.
c.Event Organizer Authority – Event Organizers may enforce their own event rules and venue policies at Events they host. Such enforcement is independent of, and not directed by, the Platform. Organizers are solely responsible for on-site decisions regarding admission, removal, or other attendee management.
2. Reporting Concerns
a. Account Holders are encouraged to report safety issues, harassment, or other violations through the Platform's in-app reporting tools or by emailing the contact address listed in Section 26 (Contact Information) of the Terms.
b. If a concern arises at an independently organized Event, reports should be directed first to the Event Organizer or venue management or law enforcement as appropriate. If You believe anyone is in immediate danger, contact local emergency services.
c. We may, in Our discretion, review reported incidents to determine whether Platform-level action (such as account restriction or removal) is appropriate. We are not responsible for investigating or resolving incidents occurring at Events produced or managed by independent Organizers.
3. Evidence & Cooperation
a. Account Holders agree to cooperate reasonably with any lawful investigation or inquiry related to alleged violations of the Terms or applicable law.
b. We may request supporting documentation (for example, screenshots, communications, or incident descriptions) to assess whether corrective action is warranted. Providing false or misleading information in connection with a report may itself constitute a violation of these Terms.
c. At Our discretion, we may share limited information with Event Organizers, Content Providers, venues, or authorities consistent with Our Privacy Policy and applicable law in order to address safety or compliance issues.
4. No Private Right of Action
These enforcement and reporting procedures are discretionary tools to maintain Platform integrity. They do not create any contractual right for Account Holders to demand a particular outcome, nor any duty on Our part to act upon every report received.
5. Retaliation Prohibited
Account Holders must not retaliate against anyone who, in good faith, reports suspected violations or participates in an investigation. Retaliation may result in account suspension or termination under Section 16 (Suspension & Termination) of the Terms.
6. Reservation of Rights
We reserve all rights to take any lawful action—including referral to authorities—necessary to protect Individual Users, Event Organizers, and the Platform. Disputes regarding enforcement actions are governed by Section 17 (Arbitration & Dispute Resolution) of the Terms.
h.
Safety & Conduct Enforcement
i.Misconduct Reporting – Account Holders are encouraged to report misconduct, unsafe behavior, or violations of these Terms through the Platform's in-app reporting tools or by contacting Us directly. Reports should be made promptly and with as much detail as possible.
ii.Unauthorized Access Reporting – You agree to notify Us immediately if you suspect or become aware of: unauthorized use of or access to Your account; a potential hack, data breach, or compromise of Your login credentials; or any unusual or suspicious activity that could affect the security of the Platform or its community.
iii.Duty to Cooperate – You agree to cooperate with Us in investigating and remedying any reports, incidents, or suspected violations of these Terms, including providing additional information reasonably requested by Us.
iv.Enforcement Actions – We reserve the right, but not the obligation, to monitor, review, investigate, or remove any activity, content, or account on the Platform that violates these Terms. Enforcement actions may include: issuing warnings, limiting access to certain features, suspending or terminating accounts, removing content, or referring matters to law enforcement or other authorities where appropriate.
v.No Guarantee – While we strive to promote a safe and secure environment, we cannot guarantee the prevention or elimination of violations of these Terms, misconduct, unsafe behavior, or security incidents, and disclaim responsibility for the actions of any Account Holder.
i.Suspension or Termination – We reserve the right to suspend or terminate accounts that violate the above requirements in this section.
g.Event Organizer Integrity & Safety Obligations – Event Organizers must not post, promote, or sell tickets for any Event they do not directly host, control, or have documented authorization to manage. Organizers may only list or sell tickets for Events for which they are legally responsible, possess all necessary rights and permissions, and can fulfill all associated obligations. Reselling or redistributing tickets originally issued by another ticketing provider (for example, reselling tickets purchased through Eventbrite, Ticketmaster, or similar platforms) on the Platform is strictly prohibited unless expressly approved in writing by the Company. Event Organizers must not misrepresent Event details, duplicate or mirror existing Events hosted by others, or use the Platform to engage in unauthorized ticket brokering or speculative listings. Event Organizers who sell tickets externally may list their Events on the Platform for promotional purposes only and must clearly identify the external ticketing or registration process. Such Organizers are solely responsible for payment collection, refunds, and all related compliance obligations. In all cases, Event Organizers are prohibited from unauthorized ticket resales or using the Platform to promote unlawful activity (including unlicensed alcohol service, gambling, or other violations of local safety or permit laws). Each Event Organizer remains solely responsible for attendee safety, venue compliance, and the conduct of their staff, volunteers, and agents. Event Organizers must ensure that all promotional materials, event descriptions, and pricing information are accurate, not misleading, and comply with all applicable federal, state, and local consumer-protection and advertising laws, including without limitation the Federal Trade Commission Act and California Business and Professions Code § 17500 et seq.
h.Content Provider Responsibilities – Content Providers may upload, license, and distribute recorded or streamed video content only in accordance with the Organizer Upload & Content License Agreement, these Terms, and all applicable intellectual-property laws. Organizers must hold all rights and permissions for the Content they upload, including model releases, music rights, and other licenses. Content Providers may not upload, distribute, or monetize any Content that is unlawful, infringing, obscene, exploitative, deceptive, or otherwise inconsistent with these Terms, including but not limited to unlicensed copyrighted works, pirated materials, adult or pornographic content, or medical, therapeutic, or coaching material that violates professional licensure or scope-of-practice rules. Content Providers must ensure that all titles, descriptions, thumbnails, and metadata accurately describe the Content, and must not misrepresent the nature, duration, or educational or entertainment value of their materials. Content Providers are responsible for the accuracy and lawfulness of all materials and for honoring all Viewer access rights and refund policies consistent with the Refund & Rental Access Policy.
i.Prohibited Events & Payment Processor Compliance – Event Organizers and Content Providers may not use the Platform to create, promote, or facilitate any Event, content, or activity that is unlawful, unsafe, misleading, or otherwise inconsistent with these Terms or applicable law. Prohibited uses include, without limitation, Events or content that are unlawful or that violate applicable laws, regulations, or public safety standards, including those involving or promoting: criminal activity; adult content or sexually explicit conduct that is illegal or unlicensed (including obscene material, public indecency, or sexually explicit acts prohibited by law); weapons or firearms sales or demonstrations; multi-level marketing or pyramid schemes; controlled substances; gambling or betting; counterfeit or stolen goods; infringement of intellectual property or proprietary rights (including unauthorized use or sale of copyrighted works, trademarks, or trade secrets); distribution of pirated or unlawfully obtained materials (such as leaked music, films, or recordings); or violent extremism, hate speech, or any content that encourages, incites, or celebrates unlawful violence or hatred toward any group based on protected characteristics. To maintain compliance with payment-processing requirements (including those of Square, Stripe, and other processors we may use), we may remove or disable any Event, content, or account that appears to violate this provision. Violations may result in immediate suspension or termination of the Organizer's account and may be reported to Square, Stripe, law enforcement, or other appropriate authorities as required by law or under applicable payment-processor policies.
j.Platform Security Obligation – You agree to not interfere with the security, operation, availability, or integrity of the Platform, including by: uploading or transmitting any virus, adware, spyware, worm, Trojan horse, or other malicious code; sending unsolicited promotions, advertisements, or spam; collecting, harvesting, or otherwise gathering personal information about another Account Holder or third party without their consent; or disrupting or attempting to gain unauthorized access to any network, system, or server connected to the Service. We reserve the right, but do not undertake an affirmative obligation, to monitor, review, or remove any content or Event that appears to violate these Terms or applicable law. We may take any action we deem appropriate, including removal, suspension, or referral to law enforcement, consistent with applicable legal obligations.
ii. For Events where tickets are sold externally ("Externally-Processed Events"), the Company provides listing and promotional functionality only and is not involved in payment collection or fulfillment. All ticketing, payment, and refund obligations for those Events rest solely with the applicable Event Organizer or their third-party payment processor. We are not responsible for issuing refunds, exchanges, or credits for Events hosted or ticketed independently by Event Organizers.
If an Event Organizer cancels an Event, ceases operations, or closes their Platform account before fulfilling refund obligations, the Organizer remains solely responsible for issuing all applicable refunds and resolving related attendee claims. The Company may, in its discretion, issue refunds on the Organizer's behalf and deduct or recover those amounts from any current or future payouts, reserves, or other funds held for the Organizer under Section 8 (Payments, Subscriptions & Pricing). Event Organizers must clearly disclose their refund and cancellation policies to attendees before purchase. Failure to provide clear and conspicuous refund terms, or to honor published refund policies, may constitute a deceptive practice under applicable consumer-protection laws.
g.Purchasing Tickets for Others – If You purchase or register tickets for any other person, You represent and warrant that: (i) You are authorized to provide their information; (ii) You have provided them with the applicable Platform Terms and any Event Organizer terms or policies; and (iii) You are agreeing to those terms on their behalf. You further agree that each attendee's entry into or attendance at an Event constitutes their independent agreement to be bound by the Platform Terms and any Organizer Event Terms, even if the attendee did not personally create a Platform account or complete the purchase themselves.
h.Ticket Transfers – Tickets may not be resold, transferred, or used for commercial purposes without the prior written consent of the Event Organizer, and where tickets are sold through the Platform ("Platform-Processed Events"), Us. Tickets may not be resold or listed for sale on the Platform by anyone other than the original Event Organizer authorized to host that Event. Unauthorized resale, transfer, or use for promotional or commercial gain may result in cancellation without refund and denial of entry. For Events where tickets are sold externally ("Externally-Processed Events"), transfer and resale terms are governed solely by the applicable Event Organizer's policies and third-party ticketing platform, and the Company assumes no responsibility for such transfers or disputes arising from them.
i.No Responsibility for Travel & Related Expenses – Neither the Company nor any Event Organizer is responsible for Individual User costs incurred in attending an Event, including travel, accommodation, meals, or other personal expenses.
j.Compliance with Laws & Rules – All Account Holders attending Events listed, promoted, or made available through the Platform—whether ticketed directly through the Platform or by an external Event Organizer—must comply with all applicable laws, regulations, and governmental orders, as well as all Event, venue, and Event Organizer rules and policies, including those relating to health, safety, privacy, and security.
k.Assumption of Risk – Attendance at any Event is subject to the Assumption of Risk provisions in Section 14 of these Terms. By registering for or attending any Event, You expressly acknowledge and accept those risks, including that We are not responsible for the actions, omissions, or conduct of any Event Organizer, venue, or attendee.
l.Service Fees on Ticket Purchases – For Events where tickets are sold through the Platform ("Platform-Processed Events"), the Company charges a service fee to attendees at checkout ("Service Fee"). The Service Fee is disclosed during the purchase process and is non-refundable except where required by law or expressly stated otherwise on the Platform. The Service Fee is retained by the Company and is separate from the ticket price set by the Event Organizer.
m.Organizer Compensation – Event Organizers are not entitled to share in Service Fees or receive any payout from ticket revenue unless the Organizer has entered into a separate written revenue-share or partnership bonus agreement with the Company ("Organizer Partnership Addendum"). If no such written Addendum is in effect, the Organizer will not receive any revenue share, bonus, or other compensation related to ticket sales processed through the Platform.
n.Streaming Content – Content Providers who upload or distribute recorded or streamed content are subject to the Organizer Upload & Content License Agreement, and Viewers who rent or access such content are governed by the Supplemental Video Streaming Terms. Refunds, access duration, and service fees for streaming transactions are addressed in those supplemental terms and in the Refund & Rental Access Policy.
h.Merchant of Record; Payment Processing – For Platform-Processed transactions (Events or Content), the Company or its payment processor may act as the merchant of record solely to collect and settle payments to the relevant Organizer. Acting as merchant of record does not make the Company a seller, co-organizer, publisher, or sponsor. Payouts are subject to payment-processor verification, fraud monitoring, reserve requirements, and compliance reviews. For Externally-Processed transactions, the Company only provides listing or promotional functionality and does not act as a payment intermediary or fiduciary.
i.Taxes & Withholding – Event Organizers and Content Providers are solely responsible for determining, collecting, withholding, reporting, and remitting any applicable income, sales, use, value-added (VAT/GST), or other taxes, duties, or governmental charges arising from their sales or rentals. Where required by law, the Company may withhold taxes and remit them to the appropriate authority. Organizers must provide accurate tax information (including tax identification numbers, certificates, and forms) upon request.
j.Service Fees Retained by Company – For Platform-Processed Events and streaming transactions, the Company may deduct and retain service, transaction, or processing fees before issuing any payout. If no Organizer Partnership Addendum or other revenue-share agreement is in effect, the Organizer will not receive any payout beyond the terms stated in the applicable Organizer Agreement.
k.Premium Subscriptions (Future Feature) – The Platform may offer optional paid premium functionality on a recurring subscription basis. Subscriptions are billed through third-party app stores (e.g., Apple App Store, Google Play), and those stores' terms and revenue-share structures will apply. Users are responsible for cancellation through the applicable app store. Premium subscriptions are non-refundable except as required by law.
l.Organizer Payouts; Deductions & Chargebacks – The following apply to both Event Organizers and Content Providers:
i. Payout Timing. Net revenue (after fees, taxes, and reserves) is remitted within ten business days after the applicable Event or rental period ends, subject to processor clearance.
ii. Deductions. We may deduct service fees, taxes, refunds, chargebacks, and reserves for disputes or fraud.
iii. Chargebacks & Reversals. Organizers are solely responsible for all chargebacks and related fees.
iv. Reserves & Holds. We or the processor may hold funds to manage anticipated refunds or risk of loss.
v. Dispute & Fraud Holds. We may delay or withhold payouts if fraudulent or unlawful activity is suspected, or if required by law or processor directive.
vi. Set-Off Rights. We may offset amounts owed to the Company against payouts due to the Organizer.
vii. Final Accounting. Upon account termination, We will provide a final accounting and remit any undisputed balance after legal deductions.
ii.Account Holder Representations – By uploading or posting any content, You represent and warrant that: (1) You have all necessary rights, licenses, consents, and permissions—including with respect to any name, image, likeness, voice, or other identifiable characteristics appearing in the content—to upload and share that content; (2) The content does not infringe, misappropriate, or violate the intellectual property, privacy, or publicity rights of any third party; and (3) the content is not unlawful, defamatory, obscene, harassing, hateful, pornographic, or otherwise inappropriate. Event Organizers & Content Providers further represent that any content used to promote or describe Events or Video Courses either depicts only individuals who have consented to such use, or is otherwise owned or used under a valid license or authorization.
iii.License to the Company – By uploading, posting, or otherwise making content available through the Platform, You grant the Company a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to host, use, reproduce, publicly display, distribute, transmit, index, adapt, and otherwise make Your content available to the public as necessary to operate, promote, and improve the Platform. This license remains in effect while Your content is available on the Platform. The license terminates automatically when You delete Your content, except that: (1) We will make commercially reasonable efforts to remove Your content from active use within a reasonable period after deletion; (2) We may retain copies for backup, archival, or legal compliance; (3) Content may remain visible where it was previously shared; (4) We may continue to use anonymized or aggregated forms that do not personally identify You; (5) The Company may display Your name, image, or likeness solely as part of Your Account Holder Content and not for separate commercial endorsement without Your prior written consent.
iv.Indemnification for User Content – You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any claims, demands, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any content You upload, post, or otherwise make available through the Platform, including claims alleging that Your content infringes, misappropriates, or violates the intellectual-property, privacy, publicity, defamation, or other personal or proprietary rights of any third party.
g.Processor vs. Controller Roles – For Platform-Processed Events & Streaming, the Company acts as a service provider/data processor. For Externally-Processed Events, the Organizer acts as the data controller and is solely responsible for privacy compliance.
h.Communications, Marketing & Consent – If Organizers/Providers use the Platform's communication or marketing tools, they represent that they have all legally required consents and will comply with CAN-SPAM, CASL, GDPR. Each message must include a valid opt-out mechanism.
i.Account Holder Responsibility – You are responsible for reviewing the Privacy Policy regularly and for any Personal Information you choose to make publicly visible through the Platform.
j.Data Security & Limitations – We use commercially reasonable physical, technical, and administrative safeguards. However, no system is completely secure, and we cannot guarantee absolute security. You acknowledge that you provide information at your own risk.
g.No Liability for Termination – We will not be liable to You or any third party for any modification, suspension, or termination of Your account or access to the Platform.
Ketchup terms
h.No Liability for Event Organizer or Content Provider Data Practices – To the maximum extent permitted by law, We shall have no liability whatsoever for any act or omission of any Event Organizer, Content Provider, or third party involving the access, export, download, storage, retention, disclosure, misuse, handling, or processing of Personal Information. Once Personal Information is accessed or exported by an Organizer/Provider, such Organizer/Provider assumes exclusive responsibility and liability for that data.
